Welcome to PromptCatalog, operated by Omne, LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, products, and services. By accessing or using PromptCatalog, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our services, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

PromptCatalog provides AI image generation prompts, reference images, and related digital assets ("Products") designed for use with photo booth software and AI image generation systems. Our services include:

• Individual prompt set purchases
• Subscription-based access to our prompt library
• Gallery widget services for displaying AI-generated images
• Reference images and related assets

3. Account Registration

To access certain features of our services, you must create an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account

Marketing Communications

By creating an account, you agree to receive marketing emails from PromptCatalog, including product updates, new prompt releases, special offers, and tips for using AI in your photo booth business. You can unsubscribe from marketing emails at any time by clicking the "unsubscribe" link in any email or contacting us at support@promptcatalog.com.

Please note that even if you unsubscribe from marketing communications, you will still receive transactional emails related to your account and purchases (such as order confirmations, download links, and account notifications).

4. Purchases and Payments

All purchases are processed through our third-party payment processor, Stripe. By making a purchase, you agree to Stripe's terms of service. All prices are listed in US dollars unless otherwise specified.

Subscriptions: Subscription services are billed on a recurring basis. You may cancel your subscription at any time, but no refunds will be provided for the current billing period. Your access will continue until the end of the paid period.

Individual Purchases: Individual prompt set purchases provide permanent access to the purchased Products, subject to these Terms.

5. License and Usage Rights

Grant of License

Upon purchase of a Product, we grant you a limited, non-exclusive, non-transferable license to use the purchased prompts and reference images for the following purposes:

• Generate AI images using the prompts within your own business operations
• Use the prompts in photo booth software and AI image generation systems
• Create images for your customers using the purchased prompts
• Use reference images as inputs for AI image generation

Restrictions

You may NOT:

• Resell, redistribute, or sublicense the prompts, reference images, or any Products in any form
• Share, publish, or make publicly available the prompt text or reference images for others to use
• Include Products in any product or service that competes with PromptCatalog
• Claim ownership of the original prompts or reference images
• Transfer your license to another individual or entity without our written consent

Ownership of Generated Images: Images you generate using our prompts within your business operations are yours to use commercially, subject to any third-party AI service terms and applicable laws. However, this does not grant you ownership of the underlying prompts or reference images.

6. AI-Generated Content Disclaimer

No Warranty of Non-Infringement: We do not claim, warrant, or guarantee that any images generated using our prompts or AI services are free from copyright claims, trademark issues, or other intellectual property infringement. AI image generation technology is inherently unpredictable, and generated outputs may inadvertently resemble copyrighted works, trademarks, or the likeness of real individuals.

Your Responsibility: You are solely responsible for:

• Reviewing all AI-generated images before use or distribution
• Ensuring generated images do not infringe on third-party intellectual property rights
• Obtaining any necessary permissions, releases, or licenses for commercial use
• Complying with all applicable laws and regulations regarding AI-generated content
• Ensuring generated images do not violate the terms of service of any third-party AI platforms you use

Indemnification: You agree to indemnify and hold harmless Omne, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of AI-generated images created using our Products.

7. Intellectual Property

All content on PromptCatalog, including but not limited to text, graphics, logos, images, prompts, and software, is the property of Omne, LLC or its licensors and is protected by intellectual property laws. The PromptCatalog name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Omne, LLC.

Your purchase of Products grants you only the limited license described in Section 5 and does not transfer any ownership of intellectual property rights.

8. Refund Policy

Due to the digital nature of our Products, all sales are generally final. However, we may consider refund requests on a case-by-case basis within 7 days of purchase if:

• The Product is materially different from its description
• Technical issues prevent you from accessing the Product
• The Product files are corrupted or incomplete

9. Prohibited Uses

You agree not to use our services to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create deepfakes or non-consensual intimate imagery
• Generate content depicting minors in any inappropriate context
• Impersonate any person or entity without consent
• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt our services or servers

10. Disclaimer of Warranties

OUR SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• Our services will be uninterrupted, secure, or error-free
• The results obtained from using our Products will be accurate or reliable
• The quality of any Products will meet your expectations
• AI-generated images will be free from intellectual property issues

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR SERVICES OR PRODUCTS.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use our services will immediately cease
• You must stop using any Products obtained through our services in violation of these Terms
• Sections of these Terms that by their nature should survive termination will continue to apply

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Omne, LLC regarding your use of PromptCatalog and supersede any prior agreements.
